Terms of Service

Before We Begin

These are the terms that govern your use of Roonify, including our website at roonify.com and our mobile and desktop applications (together, the "Service"). We've written them to be clear and readable, not to confuse you or hide things in fine print.

By using the Service, you're agreeing to these terms. If something doesn't sit right, reach out to us at policy@roonify.com. We'd rather talk it through than have you agree to something you don't understand.

Roonify Inc. is incorporated in the Commonwealth of Puerto Rico.

1. What Roonify Is

Roonify is a relational health platform. We help people practice healthier communication and navigate difficult conversations with privacy, AI-assisted guidance grounded in clinical psychology research, and structured tools designed for emotional safety.

The Service includes features such as:

• Daily Practice: a structured daily practice for building healthier communication habits.
• Healing Circles: private, invite-only spaces (Solo, 1:1, Family, Group, and Rehearsal Circles) for reflecting on and engaging in difficult conversations.
• Journal: a private space for written reflection.
• Relational Vitals: a regular look at where you're strong in your communication and where to focus next.

The specific features available to you depend on the subscription tier you choose. For details on subscriptions and billing, see Section 5.

2. What Roonify Is Not

This is important, so we want to be direct.

Roonify is not therapy. It is not counseling. It is not a substitute for professional mental health care. It does not provide medical advice, diagnoses, or treatment. The AI guidance in the Service is informed by clinical psychology frameworks but is not delivered by licensed clinicians and should not be relied on as professional care.

Roonify is not a crisis service. If you are experiencing a mental health crisis, please contact a licensed mental health professional or one of the following resources:

• United States: call or text 988 (Suicide and Crisis Lifeline)
• International: visit findahelpline.com to locate resources in your region

If you or someone else is in immediate danger, contact your local emergency services.

When mental health providers use or recommend Roonify, they do so as a supplementary tool alongside their own professional judgment. Their use of Roonify does not make Roonify a healthcare service or a HIPAA-covered entity.

3. Who Can Use Roonify

You must be at least 18 years old to create an account or use the Service. In jurisdictions where the age of majority is higher than 18, you must meet that local age requirement. By using the Service, you confirm that you meet this requirement.

We restrict access to adults given the sensitive nature of the content users engage with on the Service.

If we learn that someone under the applicable age has created an account, we will close it and delete the associated data.

4. Your Account

To use Roonify, you create an account using an email address and a display name. You are responsible for:

• Keeping your login credentials secure.
• The activity that happens under your account.
• Notifying us promptly if you believe your account has been accessed without your permission.

You agree to provide accurate, current information when creating your account and to keep it up to date.

5. Subscriptions and Payment

Roonify offers paid subscription tiers. The current available tiers, what each tier includes, and the price of each tier are shown on our pricing page and at checkout before you subscribe. Prices are in U.S. dollars unless otherwise noted.

Payment is processed by Stripe, our third-party payment provider. By subscribing, you also agree to Stripe's terms (available at stripe.com).

Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate until you cancel. You authorize Roonify and Stripe to charge your chosen payment method on each renewal date. The billing frequency for your subscription will be disclosed to you at checkout.

Cancellation. You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access until that period ends, after which your subscription will not renew.

Refunds. Subscription fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us at policy@roonify.com.

Failed payments. If a payment fails, we may attempt to retry the charge. If payment cannot be completed, we may suspend or cancel your subscription without notice.

Price changes. We may change subscription prices or restructure tiers. If we change the price of your existing subscription, we will give you at least 30 days' notice by email before the change takes effect for your account. You can cancel before the new price applies if you do not agree to it.

Taxes. Prices listed do not include applicable taxes, which will be added where required by law.

6. Your Content

You retain ownership of everything you create or submit in the Service: your messages in Circles, your journal entries, your reflections in Daily Practice, your Relational Vitals responses, and any other content you generate ("Your Content").

License to us. To operate the Service, you grant Roonify a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit Your Content for the purpose of providing the Service to you and the other people you invite into your Circles.

This license is operational only. It allows us to run the Service. It does not give us the right to sell Your Content, share it with advertisers, or use it for marketing.

AI processing. To deliver coaching and analysis features, Your Content is processed by AI services. For details on how AI processing works, see Section 7.

Research. We may use aggregated, anonymized patterns derived from Your Content to improve the Service and, in the future, to contribute to research on relational health. Any contribution of data to research will be anonymized, aggregated, and require your explicit consent at the time. We will not contribute Your Content to research without that consent.

Deletion. You can delete your account and Your Content from your account settings. When you delete your account:

• Your Content is removed from active systems.
• Backups containing Your Content are purged on a rolling schedule.
• Anonymized, aggregated pattern data that cannot be traced back to you may be retained.

We may retain limited information as required by law (for example, payment records for tax purposes).

7. AI and How We Process Your Messages

A core feature of Roonify is AI-assisted communication coaching. This section explains how it works.

What the AI does. When you write in a Circle, the AI analyzes your messages to detect communication patterns, classify emotional tone and severity, and suggest reframes or coaching when appropriate. The AI helps you communicate more effectively. It does not communicate for you.

How processing works. To provide AI coaching, the content of your messages is sent from Roonify's servers to third-party AI inference providers, who process the content and return a response. The current providers are routed through OpenRouter, an inference platform that connects to open-weight language models.

What the providers do with your content. The AI providers process your content to generate a response. They do not retain the content for their own use beyond what is required to deliver that response, in accordance with their data handling terms. We choose providers whose terms align with this approach. If you would like more detail on our current providers' data practices, contact us at policy@roonify.com.

Limitations of AI. The AI is not a licensed clinician, a therapist, or a human listener. It can make mistakes, miss context, or produce responses that do not fit your situation. It is not appropriate for crises. By using the Service, you accept these limitations.

Your consent. By creating an account, you have consented to AI-assisted analysis within your Roonify sessions. You can withdraw this consent by deleting your account.

8. Community Standards

Healing Circles are spaces where people might communicate about difficult things. For these spaces to function, certain conduct is not allowed.

When using Circles, you agree not to:

• Send threats of violence, harm, or harassment to any participant.
• Use slurs or hateful language targeting a person or group.
• Harass, intimidate, or stalk other participants.
• Share illegal content or content that violates someone's rights.
• Use Circles for commercial solicitation, spam, or impersonation.
• Attempt to circumvent the AI's safety features (severity classifier, hard-blocks, or coaching prompts).

Enforcement. The AI may block messages that violate these standards in real time. Repeated violations may result in account suspension or termination at our discretion. We may also remove a user from a Circle at the request of the Circle's creator.

Reporting. If another participant in a Circle behaves in a way that violates these standards, contact us at policy@roonify.com. We will investigate and take appropriate action.

9. Privacy

How we collect, use, and protect your information is governed by our Privacy Policy, which forms part of these terms. By using the Service, you agree to the Privacy Policy.

Summary of key commitments:

• Roonify staff do not read your conversations.
• Your Content is not sold to advertisers or shared with data brokers.
• Circles are invite-only and not visible to other users.
• You can delete your account and Your Content at any time, subject to the deletion terms in Section 6.

10. How You Can Use the Service

We built Roonify to help people communicate better. We ask that you use it respectfully and lawfully.

You agree not to:

• Submit false or misleading information.
• Attempt to access parts of the Service or our systems you are not authorized to use.
• Use the Service for anything unlawful.
• Scrape, harvest, or collect data from the Service using automated tools without our written permission.
• Interfere with the Service's operation or disrupt it for others.
• Reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law.

11. Our Content

Everything we publish on the Service, including the text, design, graphics, logos, icons, code, AI prompts, frameworks, curriculum, and underlying technology, belongs to Roonify Inc. or our licensors and is protected by intellectual property law, including copyright, trademark, trade secret, and patent rights where applicable.

You're welcome to use the Service for its intended purpose. Please don't reproduce, distribute, or modify our content without written permission.

The name "Roonify," our logo, and related marks are trademarks of Roonify Inc.

12. Third-Party Services

The Service uses third-party services to operate, including:

• Stripe for payment processing
• OpenRouter and the AI providers it routes to for AI coaching
• Buttondown for our newsletter
• Cloud hosting and database infrastructure providers

These services have their own terms and privacy practices. Where applicable, we disclose them in our Privacy Policy.

The Service may also link to other websites that we do not own or control. We are not responsible for their content or privacy practices.

13. Things We Can't Guarantee

We work hard to keep the Service reliable, accurate, and secure. But we cannot promise perfection.

To the maximum extent permitted by law, the Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the AI coaching will produce particular outcomes or that using the Service will improve specific relationships.

14. Limits on Our Liability

To the maximum extent permitted by law, Roonify Inc. and its officers, directors, employees, contractors, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service.

Our total liability for any claim related to the Service will not exceed the greater of (a) the amount you have paid to Roonify in the twelve months before the claim arose, or (b) one hundred U.S. dollars ($100).

15. Indemnification

If your use of the Service, your violation of these terms, or your violation of someone else's rights results in a claim against Roonify, you agree to indemnify and hold us harmless from any resulting liabilities, damages, losses, and expenses, including reasonable attorney fees.

16. Suspension and Termination

You can stop using the Service and delete your account at any time from your account settings.

We may suspend or terminate your account if you violate these terms, violate our Community Standards (Section 8), or use the Service in a way that creates legal risk for Roonify or its users. Where possible, we will give you notice and an opportunity to address the issue first. In serious cases, we may act immediately.

If your account is terminated, you lose access to the Service and Your Content. We will handle deletion as described in Section 6.

17. Governing Law and Disputes

These terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to its conflict of law principles.

Informal resolution first. Before filing a formal legal claim, you agree to contact us at policy@roonify.com to attempt to resolve the dispute informally. Many disputes can be resolved quickly without a lawyer.

Jurisdiction. If informal resolution does not work, any disputes will be resolved in the courts of the Commonwealth of Puerto Rico, and you consent to the jurisdiction of those courts.

18. Changes to These Terms

We may update these terms as Roonify evolves. When we do, we will update the date at the top of this page.

If we make changes that materially affect your rights or obligations, we will notify registered users by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date means you accept the updated terms. If you do not accept the changes, you can cancel your subscription and delete your account.

19. International Users

The Service is operated from Puerto Rico, United States. If you access the Service from outside the United States, you are responsible for compliance with local laws.

Where required by local law, we will honor data protection rights such as access, correction, and deletion. To exercise these rights, contact policy@roonify.com.

20. The Full Picture

These Terms of Service, together with our Privacy Policy and Cookie Policy, make up the complete agreement between you and Roonify Inc. regarding your use of the Service.

If any part of these terms is found to be unenforceable, the rest still applies in full.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

These terms do not create any joint venture, partnership, employment, or agency relationship between you and Roonify.
